Study material sample: Market Conduct Regulations

Summary

This chapter covers Articles 2–10 of the Market Conduct Regulations: manipulation, untrue statements and inside information. The Academy-linked syllabus allocates 13 of 25 questions to it, with limited distribution flexibility. Link each scenario to its provision, then check purpose, knowledge and materiality.

What the exam focuses on

  • Article 2: the prohibition includes participation with knowledge or reasonable grounds to know, including automated orders.
  • Article 3: distinguish fictitious trades, matched orders, promotion to exit a holding and artificial-price orders; exceptions depend on compliance with their rules.
  • Article 4: information concerns a security or its orders, is not publicly available and would be expected to have a material effect if made public.

Common traps

  • An unexecuted order can still be manipulative.
  • Not authoring a rumour does not exempt its circulation for a prohibited purpose.
  • Not being an issuer employee is no exemption from inside-information rules.

What are the elements of inside information?

Article 4: information concerns a security or its orders, is not publicly available and would be expected to have a material effect if made public.

Can an omission amount to an untrue statement?

Yes: omitting a material fact when making a statement, Article 9(a)(5).
