Study material sample: Introduction to the Capital Market Authority
Summary
About 7 of the 50 exam questions come from this unit. It has four sections. The first covers the securities that the Capital Market Law includes and the instruments outside the definition (Articles 2 and 3), plus securities traded on a regulated market abroad (Article 26). The second covers the responsibilities and powers of the Capital Market Authority (Articles 5 and 6). The third covers the Exchange and the Committee for the Resolution of Securities Disputes and its Appeal Committee: objectives, governance, time limits and enforcement (Articles 20 to 25 and 30). The fourth covers the Securities Depository Center: registering ownership, its legal effect, correcting errors and liability (Articles 27 and 28).
What the exam focuses on
- The definition of securities in Article 2: convertible and tradeable shares, tradeable debt instruments, investment fund units, profit-participation or asset-distribution rights, and anything else the Board decides to include.
- What Article 3 says is not a security: commercial bills such as cheques, bills of exchange and promissory notes, documentary credits, money transfers, instruments traded exclusively among banks, and insurance policies.
- The Authority's duties in Article 5 and powers in Article 6, including suspending the Exchange for no more than one day; a longer suspension needs the approval of the Minister of Finance.
Show 5 more
- Investigation powers in Article 5(c): subpoena witnesses, take evidence, require records and documents, and inspect records whoever holds them.
- The Committee for the Resolution of Securities Disputes (Article 30): one or more circuits of three regular members and one substitute, appointed by Royal Order for a renewable three-year term.
- Dispute time limits: a complaint to the Authority first, then 90 days before a claim goes to the Committee; the Committee starts considering a claim within 14 days; an appeal is lodged within 30 days of notification of the decision.
- The Securities Depository Center registers ownership of securities traded on the Exchange; its final entries are conclusive evidence of ownership, and registration takes effect on final verification of the ownership documents (Article 27).
- The Center may register provisionally if it doubts the facts or is notified that registration would harm third parties, and must then immediately decide how the final registration will be made (Article 27).
Common traps
- Mixing up Articles 2 and 3: the first defines a security; the second removes commercial bills, insurance policies and similar instruments from the definition.
- Thinking the Law covers a security listed on a regulated market abroad just because the order was placed by phone or electronically from the Kingdom; as a rule it falls outside the Law unless the Authority agrees otherwise with foreign authorities (Article 26).
- Confusing the suspension period: the Authority may suspend the Exchange for one day at most; a suspension of more than one day needs the Minister of Finance's approval (Article 6).
Show 5 more
- Mixing up the three periods: 90 days after filing the complaint with the Authority, 14 days for the Committee to start considering the claim, and 30 days to appeal.
- Assuming the Authority appoints the Committee's members; appointment is by Royal Order, and a member must have no financial or commercial interest in the parties and no family tie to them up to the fourth degree.
- Believing an Appeal Committee decision can be challenged, or that the Authority enforces decisions itself; its decisions are final and are enforced through the government agency responsible for enforcing judicial judgments, at the request of the Authority, the Exchange, the Depository Center or the Clearing Center.
- Confusing provisional and final registration at the Center: provisional registration is a precaution when there is doubt or possible harm to third parties; the final entry is the conclusive evidence of ownership.
- Over-stating the Center's liability: it compensates financial loss from a registration error caused by proven negligence or misconduct of its employees, and compensation may be reduced or refused if the claimant contributed to the error or it could have been avoided.
